Demystify Capital Markets and Learn from Industry Experts on How to Secure Private Equity Investment

The Private Capital Markets program provides the critical analysis and evaluation skills needed for tackling today’s complex capital markets. By learning how to make better investment decisions and financing deals, students can, in turn, provide leadership solutions that will drive organizational growth and advance their careers. Program Overview

  • Learn about and perform an in-depth analysis of the major capital sources in the private markets: angel investments, venture capital, mezzanine, private equity, bank loans, asset-backed loans, and factoring lines.
  • Study how capital providers evaluate risk and how they determine who qualifies for capital and from what source.
  • Learn how capital providers value private businesses and how business owners can operate to increase their valuation.
  • Identify the advantages and disadvantages of the major sources of capital.
  • Employ the private cost of capital (PCOC) model to estimate cost of capital for privately-held companies. Emphasis is on utilizing the Pepperdine Private Capital Markets Project survey data.

Session 1 - Overview of Private Capital Markets - Theory and Practice will focus on the integrated nature of private capital markets theory, including valuation, capitalization, and transfer of business interests. In addition session 1 will cover an overview of the major sources of financing in the private capital markets including an analysis of historical and expected returns. Introduction of the Case Study and the Pepperdine Private Capital Markets Survey results.

Session 2 - Private Equity Capital will teach participants about the role private equity funds play in the private capital markets. Participants will learn about fund economics, how private equity funds determine who qualifies for an investment, how the investment evaluation process works, how valuations are derived, private equity return expectations, tips for negotiating the term sheet, and contracting options.

Session 3 - Angel Investments, Venture Capital, and other Early Stage Financing will cover the role venture capital, micro VCs, super angels and angel investors play in the private capital markets. Participants will learn how venture capital funds and angel investors determine who qualifies for an investment, how the investment evaluation process works, how company valuations are derived, how much equity is typically sold, angel and venture capital return expectations, how to choose an angel/venture capital investor, contracting options, and tips for negotiating the term sheet, and the common roadblocks for successful capital raising.

Session 4 - Senior Debt (Including Cash Flow Based and Asset Based Lending) and Factoring will discuss the roles cash flow lenders, asset-based lenders, and factors play in the private capital markets. Participants will learn how banks, ABLs, and factors determine who qualifies for funds, how the credit approval process works, the all-in borrowing costs, how to choose a bank, ABL, and factor, the contracting options, and how to present and negotiate the term sheet.

Session 5 - Determining Your Cost of Capital with Pepperdine Data & Conclusion of Case Study will summarize the costs of each of the major capital types and show participants hot to create a capital structure that minimizes cost of capital and maximizes business value. This session will also teach participants how to use the valuation models as a tool to evaluate investment and financing opportunities.

Session 6 - Mezzanine Capital will teach participants about the role mezzanine funds play in the private capital markets. Participants will learn how mezzanine funds determine who qualifies for an investment, how the investment evaluation process works, mezzanine return expectations, how to choose a mezzanine investor, tips for negotiating the term sheet, and contracting options.

Session 7 - Investment Banking will teach participants about the roles played by intermediaries in securing capital and transferring business ownership interests. Participants will learn to groom a business for a capital raise or sale, the investment banking process, the general fee structures for intermediaries, how to choose an intermediary, how to negotiate the representation agreement, and the common roadblocks for successful representation. Also learn trade secrets an investment banker does not want a business owner to know.
